The following sets forth a brief summary of the business experience of the Directors and Executive Officers.

Paul D. Beitlich

Mr. Beitlich is a senior shareholder with the Sarasota, Florida based law firm of Icard, Merrill, et al. He has been an attorney in Sarasota, Florida for over 21 years, having received his Juris Doctor with Honors from the University of Florida. His legal practice is concentrated on banking, business and real estate development transactions, and he has been a Board Certified Real Estate Attorney in the state of Florida since August 1, 1991. He is licensed to practice in both Florida and Illinois. Mr. Beitlich is very active in community endeavors, and his past and current civic involvements include serving on the Boards and Committees of the YMCA, Chamber, County Realtor Association, officer and elder of his local church congregation, and service on a national board for Wisconsin Ev. Lutheran Synod. He is a graduate of the 1989 Leadership Sarasota Class, and has coached numerous youth sporting teams in the Sarasota area. Mr. Beitlich is a 21 year resident of Sarasota and he is married and has three children.

James E. Boyd

Mr. Boyd was born on October 22, 1956 in Bradenton, Florida. He received his AA degree from Manatee Junior College in 1976 and his B.S. degree from Florida State University in 1978. From 1978 to present, Mr. Boyd has served as Chief Executive Officer and Partner of Boyd Insurance and Investment Services. He is also the President of The Boyd Group, Commercial and Investment Real Estate. He has been a Director and Stockholder since the inception in 1978 of the Employee Services of America. He was the President and CEO of the Employee Services of Florida 1996-1997. The owners sold the company in March of 1997, and he remained the President of the Southeast Region, NovaCare Employee Services. Mr. Boyd rejoined the Boyd Insurance and Investments in January 2001. He was a founding Shareholder and Director of Manatee River Community Bank. Having resided in Manatee County his entire life Mr. Boyd is highly active within the community. From 1989 to 1993 Mr. Boyd served on the Palmetto City Council during which time he held positions as Councilman, Vice-mayor, and Mayor. He is a member of numerous Civic Boards. James E. Boyd currently holds General and Surplus Lines Insurance Licenses, Life, Health and Variable Annuity License in Florida. He is also a licensed Florida Real Estate Broker.

Mr. Bridges has been a recognized leader in real estate development and has made a strong commitment to the growth of the Atlanta market and the Southeast. Mr. Bridges serves as President of JEBCO Ventures, Inc. JEBCO Ventures' developments include a wide range of project types including mixed-use centers, specialty retail development, freestanding retail buildings, office development, luxury condominiums and apartment buildings. JEBCO Ventures, Inc. has worked with many outstanding retailers such as Home Depot, Wal-Mart, Eckerd, Kroger, Office Max and various others. JEBCO Ventures has offices in Atlanta, Georgia and Sarasota, Florida. They are committed to excellence and building strong, lasting relationships. The company philosophy is rooted in the belief that its success is bound to that of its clients.

Rob Cook

Rob Cook joined FIG Partners, LLC in 2009 as Vice President, with the primary responsibility of developing FIG’s Midwest practice.  His corporate development efforts have resulted in FIG’s advisement in over $200M of capital for Midwest depository institutions.  In addition, Midwest institutions now account for over 25% of the firm’s primary market making relationships.  Prior to joining FIG, he held a variety of roles within community bank capital markets including: corporate finance, institutional sales and trading, and asset management.  Rob graduated Summa Cum Laude from University of Missouri-Columbia with a B.S. in Finance and Banking.

Cameron O. Dakin

Mr. Dakin was born on September 30, 1954 in Livermore, Maine. In the mid-1960’s the family moved their dairy farm to Myakka City area with the purchase of 60 acres to establish a beef cattle herd. In 1974 a milking parlor was built to accommodate 110 cows. Mr. Dakin is the owner / operator of Cameron Dakin Dairy. Today the family maintains more than 10,000 Holsteins on land in Manatee County. Mr. Dakin has been a member of numerous and civic organizations.

Mr. Day is the owner of Philip Roy Day Interior Design, Inc. He began his career working for Phillip Morris Tobacco Company and Smith Kline French pharmaceuticals, both in marketing positions. At the age 26, Mr. Day began selling banking supplies on the southwest coast of Florida. He obtained a State of Florida interior design license and in 1990 began providing turnkey modular banking facilities. For the last 25 years, Mr. Day has been involved with over 50 community and holding company banks as an investor and vendor.

Ms. Green served as President/CEO of Weight Watchers of Rocky Mountain Region, Inc., and Franchise Services of America, Inc., and also Franchise Systems International, Inc. She has served both as franchisor and franchisee. She was considered an authority on franchising and has been quoted in the Wall Street Journal, Business Age, D&B Reports and numerous other publications. Her book, "The Franchise Survival Guide", published in 1993 was a Fortune Book Club selection. Mrs. Green has served on many boards of directors. These include The Women's Bank, NA, Equitable Bankshares of Colorado, Weight Watchers of Rocky Mountain Region, Inc., SuperCuts, Inc., The Colorado Association of Commerce and Industry, The Greater Denver Chamber of Commerce, the CACI Educational Foundation, Lupus Foundation of America, Boy Scouts of America, local ad regional boards and the Health One Foundation. She currently sits on the board of the Sarasota Opera, The Glasser-Schoenbaum Human Services center, the west Florida chapter of the International Women's Forum and the national board of the US Committee for UNIFEM. In most instances she served in leadership positions. In 1981, she was awarded the national award of US Women in Business Advocate by the Small Business Administration.

Chairman / Chief Executive Officer - First America Holdings Corporation and CEO of First America Bank

Mr. Hager, Chairman / Chief Executive Officer of First America Holdings Corporation and CEO of First America Bank, has over 25 years of banking experience in the Florida market. A native of Manatee County, Mr. Hager is the former President, Chief Executive Officer and Board Member of Regions Bank of Southwest Florida, Liberty National Bank, and Key Florida Bank. Mr. Hager's banking career began with Ellis First National Bank, which was subsequently purchased by Bank of America, where he served as Vice President - Commercial Loan Officer, and Vice President-District Manager for Manatee County. He has been involved in many different non-profit organizations, serving as past President of Boys and Girls Clubs of Manatee County, Inc., Hernando Desoto Historical Society and Manatee County Nursery School, Inc. Mr. Hager currently serves as the Treasurer and Director for the Florida Sheriffs Youth Ranches, and President and Director for the Manatee River Fair Association. In addition, Mr. Hager is past Chairman and board member for Tidewell Hospice & Palliative Care, Director for the Foundation For Dreams, board member for the Boys and Girls Clubs of Manatee County Foundation, Inc. and the Boys and Girls Clubs of Manatee County, Inc., as well as serving on the board of The Word Plus Foundation and the Manatee County Sheriffs Department advisory board.

Mr. Klement came to Manatee County in 1981. He has practiced dentistry in Manatee County since 1982 with Zamikoff, Klement & Jungman, D.D.S., P.A. Prior to private practice, Dr. Klement was a commissioned officer and Dental Director of Manatee County Rural Health with the United States Public Health Service. He is an active Rotarian with over twenty years of service to the community. He has served as past president of the Manatee Dental Society and South Manatee Rotary Club and is involved with various charitable and community groups. He is a delegate to the Florida Dental Association and on the Health Advisory Board for Head Start.

W. Allen Langford
President / Director

Mr. Langford was born on July 15, 1955 in Bradenton, Florida. He received his B.B.A. degree in Marketing / Finance in 1979 from Emery University. He worked at Georgia Federal Bank in Atlanta, Georgia from 1979 to 1987 where he served as Vice President / District Manager. From 1987 to 1996, Mr. Langford served as Executive Vice President / Chief Lending Officer at Preferred Bank in Palmetto, Florida. After South Trust Bank purchased Preferred Bank in 1996 Mr. Langford served as North River Executive Manager for the Bank until 1998. Since 1998 Mr. Langford has served as the President / Chief Executive Officer of Manatee River Community Bank. Mr. Langford is a fourth generation native of Palmetto and is well known within the community. He has served as a director of the Manatee Chamber of Commerce, past president of the Palmetto Rotary Club, and currently serves as Chairman of the Rotary Scholarship Fund, as a director on the Manatee County CRA Board, as well as a director / treasurer of the Manatee Community Blood Center.

Robert Clinton Smith

Mr. Smith is a native of Trenton, New Jersey. After serving in the Vietnam War in 1966-1967, Mr. Smith taught junior high school, in Torrence, California until 1970, when he relocated to the State of New Hampshire.

After teaching high school and coaching football and baseball for three years, Mr. Smith owned and managed his own real estate firm. He was elected to the school board in 1978 and served for six years, 3 of those as chairman. In 1984, Robert C. Smith was elected to the U.S. House of Representatives as a republican where he served for six years (3 terms) representing the First Congressional District of New Hampshire. In 1990, Smith was elected to the U.S. Senate where he served for 2 consecutive terms(12 years) leaving office in January of 2003. He was a prominent member of the Senate Armed Services Committee, as well as Chairman of the Senate Ethics Committee and Environment and Public Works Committee. In June of 2003, he was appointed to the Board of Directors of the Everglades Coalition. Smith led the effort in the Senate to secure the passage of legislation to protect the Everglades. Mr. Smith is a member of the National, Florida and Sarasota Association of Realtors and is currently affiliated with Coldwell Banker Residential Real Estate at St. Armand.s Circle. He and his wife, Mary Jo, reside in Sarasota.

Robert N. Spencer

Mr. Spencer, Chairman of the Board of First America Bank. Mr. Spencer is a native of Georgia and moved to Manatee County after obtaining a law degree from Georgia State University. Mr. Spencer practiced law for several years before joining West Coast Tomato where he is Vice President in charge of marketing. West Coast is a tomato farming operation that grows and packs tomatoes in Florida and California. West Coast is also involved in cattle operations and land development. Mr. Spencer has been active in numerous community activities.

Edward Joseph Valek, II

Mr. Valek is currently the Vice President of Valek Insurance & Bonds, an independent insurance agency, in Sarasota since 1987 specializing in business insurance, life and employee benefits. Prior to that he graduated in 1982 from Louisiana State University with a BS degree in Finance and Insurance. He started his career with Worldwide Insurance Brokers in Baton Rouge, LA. After that he was vice-president of Valek Insurance in Moundsville, WV. He is past president and current board member of the Sarasota Association of Independent Insurance Agents. He was active in Jeb Bush's gubernatorial campaigns has coached numerous youth sports in Sarasota and is a 1998 graduate of Leadership Sarasota. He has earned and maintains the Certified Insurance Counselor designation and is a Life Underwriters Training Council graduate. He has been a Sarasota resident of the past 17 years and has a wife and three children.

Mr. Hogan serves as the Executive Vice President and Chief Financial Officer of First America Bank. Prior to joining First America Bank, Mr. Hogan served in 2003 and 2004 on the Board of Directors and as Senior Vice President and Chief Financial Officer of Pelican National Bank. From 1999 to 2003, he served on the Board of Directors of Pelican Financial, Inc. (Amex-"PFI") the parent company of Pelican National Bank. In 1999 and 2000, Mr. Hogan served as the Vice President and Chief Financial Officer of Pelican Financial, Inc. Prior to joining Pelican Financial, Mr. Hogan served as the Regional Financial Officer for Regions Financial Corp. and as a Senior Vice President and Chief Financial Officer of Regions Bank, N.A. in Manatee/Sarasota Counties. From 1996 to 1998, Mr. Hogan served as Vice President, Treasurer and SEC Compliance Officer for Key Florida Bancorp, Inc. From 1989 to 1996, Mr. Hogan was a certified public accountant practicing with Purvis, Gray and Company, an independent public accounting firm headquartered in Florida. He is a member of the Florida Institute of Certified Public Accountants.

Executive Vice President and Chief Lending Officer

Michael Turner is the Executive Vice President and Chief Lending officer for First America Bank. Mr. Turner has been working in the financial industry for 26 years. Mr. Turner began his professional career on the stock option trading floor in Chicago. He then moved to St. Petersburg Florida where he began his banking career with Chase Manhattan Bank. He worked as an operations analyst then transferred to Chase Manhattan Mortgage as an investor analyst while attending the University of South Florida. After the sale of Chase Manhattan Bank to Chemical bank, Mr. Turner moved to Bradenton, Florida and worked as a credit analyst and then was promoted to a commercial lender for Liberty National Bank. In 1998, Liberty National Bank was purchased by Regions Bank. At Regions Bank, Mr. Turner’s expertise grew to a seasoned commercial lender. Mr, Turner’s vast portfolio included commercial and industrial loans, commercial real estate loans, automobile floor planning loans and consumer loans. In 2004, Mr. Turner joined the CEO to help start First America Bank where he has grown the lending portfolio to over $180 million dollars. Mr. Turner is a graduate of the University of South Florida with a major in Finance and graduated with Honors from the Florida School of Banking at the University of Florida. Mr. Turner has served as President of his Church congregation since 2012.  Mr. Turner is married and has four children.

Executive Vice President and Chief Operations Officer

Ms. Thompson serves as the Executive Vice President and Operations Executive of First America Bank. Ms. Thompson has been serving in the financial industry for 24 years. Ms. Thompson began her professional career in 1988 working for sole proprietors in the public accounting sector. Ms. Thompson attained her Certified Public Accounting license in 1992 and in 1994 joined an accounting firm that became CPA Associates. While at CPA Associates, Ms. Thompson was an audit manager and was responsible for planning, performing and managing internal and external audits for several community banks. In 2005, Ms. Thompson left the public accounting sector and joined Community Bank of Manatee as their Vice President and Chief Internal Auditor. At Community Bank of Manatee, Ms. Thompson established and implemented an internal audit department and served on the executive management team. Ms. Thompson joined First America Bank in 2010 as Vice President and Chief Internal Auditor and promoted to Executive Vice President and Operations Executive in 2011. Ms. Thompson is a graduate of Indiana State University along with graduate courses at the University of South Florida for Certified Public Accounting examination requirements. Ms. Thompson is an active member of Bayside Community Church, is married and has two sons.
