The following sets forth a brief summary of the business experience of the Directors and Executive Officers.
Ronald G. Allen
Mr. Allen is a successful hotelier, currently owning four hotels in Sarasota, Florida. He owns a Holiday Inn Express, a Hampton Inn, an AmericInn, and a Hilton Garden Inn. Mr. Allen started his career in Sarasota, Florida where he owned and operated an electrical contracting business for 21 years. He sold his company to a large contracting company, and began spending his summers in Highlands, North Carolina, a high-end resort area. He began to purchase choice commercial property, and in the process, purchased a 16-unit motel. From this purchase he saw the potential for an upper mid-scale motel and in 1984 he built a 40-unit motel in Highlands. He expanded this motel twice in the next five years. His next venture was the development of two retail shopping centers, consisting of 50 retail stores, two 150-seat restaurants and 6 deluxe hotel suites. He managed these properties until 1990, at which time he sold all real estate holdings in North Carolina and began purchasing his hotel properties in Sarasota, Florida. |

Paul D. Beitlich
Mr. Beitlich is a senior shareholder with the Sarasota, Florida based law firm of Icard, Merrill, et al. He has been an attorney in Sarasota, Florida for over 21 years, having received his Juris Doctor with Honors from the University of Florida. His legal practice is concentrated on banking, business and real estate development transactions, and he has been a Board Certified Real Estate Attorney in the state of Florida since August 1, 1991. He is licensed to practice in both Florida and Illinois. Mr. Beitlich is very active in community endeavors, and his past and current civic involvements include serving on the Boards and Committees of the YMCA, Chamber, County Realtor Association, officer and elder of his local church congregation, and service on a national board for Wisconsin Ev. Lutheran Synod. He is a graduate of the 1989 Leadership Sarasota Class, and has coached numerous youth sporting teams in the Sarasota area. Mr. Beitlich is a 21 year resident of Sarasota and he is married and has three children. |

Douglas K. Chapman
Mr. Chapman entered the office products business in Canada. In 1957, he was made Vice President and General Manager of Acco Canadian Company. In 1966 Mr. Chapman moved to Chicago where he became President of Acco International, Inc. In 1971, he led a management group to acquire the assets of the Company for 12 million dollars in a leverage buy-out, one of the first in the United States. As Chairman and CEO of Acco World Corporation, he took the Company public in 1983 and the initial public offering raised over $70 million. In 1987, the Company sold out to American Brands for over $600 million. Mr. Chapman continued as Chairman and CEO, as well as Vice President of American Brands. He saw annual company sales grow from under one million dollars to over one billion dollars. During his career, he received many honors for his industry service. In addition, he served on many boards including company, institutional and charitable. He is a life Director of the Evanston Northwestern Healthcare, Inc., a large teaching hospital in the Chicago area. |

Robert J. Clancy
Mr. Clancy is the President of Clancy Financial Group, a financial and estate-planning company he founded in 2002. Prior to starting his own company, Bob was President and Chief Executive Officer of Selective HR Solutions. Selective HR Solutions is a Sarasota based professional employer organization with over $800 million in annual revenues. With over 30 years of experience in financial planning and insurance, Bob is a Registered Representative with the NASD. He is also a Chartered Financial Consultant, a Certified Fund Specialist and a licensed insurance agent. He is a member of the society of Financial Service Professionals, the American Association of Individual Investors and the Institute of Business and Finance. |

Philip Roy Day
Mr. Day is the owner of Philip Roy Day Interior Design, Inc. He began his career working for Phillip Morris Tobacco Company and Smith Kline French pharmaceuticals, both in marketing positions. At the age 26, Mr. Day began selling banking supplies on the southwest coast of Florida. He obtained a State of Florida interior design license and in 1990 began providing turnkey modular banking facilities. For the last 25 years, Mr. Day has been involved with over 50 community and holding company banks as an investor and vendor. |

Hank Goldsby, President/Chief Operating Officer
Mr. Goldsby, President/Chief Operating Officer of First America Bank, has over 30 years of banking experience encompassing all areas of lending, as well as branch administration. For the past five years, he has been the Senior Vice President/Senior Lender overseeing a $170 million loan portfolio for the Southwest Florida region of Regions Bank. Regions Bank is a $49 billion financial services company with approximately 700 offices throughout the Southeastern United States. Prior to its acquisition by Regions in 1998, Mr. Goldsby was the Sarasota market executive for Liberty National Bank. Mr. Goldsby has been involved in many different community service activities over the past several years. He has served as ambassador for the Sarasota Chamber of Commerce and as a team leader for the Chamber's membership drive. He has served as Treasurer for the Sarasota March of Dimes and a Director of Children's Haven and Adult Center, Inc. He is a former member of the Sertoma Club, the Community Bankers' Association and the Jaycees; and a current member of the Robert Morris Association. |

Carol B. Green
Ms. Green served as President/CEO of Weight Watchers of Rocky Mountain Region, Inc., and Franchise Services of America, Inc., and also Franchise Systems International, Inc. She has served both as franchisor and franchisee. She was considered an authority on franchising and has been quoted in the Wall Street Journal, Business Age, D&B Reports and numerous other publications. Her book, "The Franchise Survival Guide", published in 1993 was a Fortune Book Club selection. Mrs. Green has served on many boards of directors. These include The Women's Bank, NA, Equitable Bankshares of Colorado, Weight Watchers of Rocky Mountain Region, Inc., SuperCuts, Inc., The Colorado Association of Commerce and Industry, The Greater Denver Chamber of Commerce, the CACI Educational Foundation, Lupus Foundation of America, Boy Scouts of America, local ad regional boards and the Health One Foundation. She currently sits on the board of the Sarasota Opera, The Glasser-Schoenbaum Human Services center, the west Florida chapter of the International Women's Forum and the national board of the US Committee for UNIFEM. In most instances she served in leadership positions. In 1981, she was awarded the national award of US Women in Business Advocate by the Small Business Administration. |

Daniel S. Hager, Board/Chief Executive Officer
Mr. Hager, Chairman of the Board/Chief Executive Officer of First America Bank, has over 25 years of banking experience in the Florida market. A native of Manatee County, Mr. Hager is the former President, Chief Executive Officer and Board Member of Regions Bank of Southwest Florida, Liberty National Bank, and Key Florida Bank. Mr. Hager's banking career began with Ellis First National Bank, which was subsequently purchased by Bank of America, where he served as Vice President - Commercial Loan Officer, and Vice President-District Manager for Manatee County. He has been involved in many different non-profit organizations, serving as past President of Boys and Girls Clubs of Manatee County, Inc., Hernando Desoto Historical Society and Manatee County Nursery School, Inc. Mr. Hager currently serves as the Vice Chairman and Director for the Florida Sheriffs Youth Ranches, and Treasurer and Director for the Manatee River Fair Association. In addition, Mr. Hager is past Chairman and board member for Tidewell Hospice & Palliative Care, Director for the Foundation For Dreams, board member for the Boys and Girls Clubs of Manatee County Foundation, Inc. and the Boys and Girls Clubs of Manatee County, Inc., as well as serving on the board of The Word Plus Foundation and the Manatee County Sheriffs Department advisory board. |

Robert J. Klement, D.D.S.
Mr. Klement came to Manatee County in 1981. He has practiced dentistry in Manatee County since 1982 with Zamikoff, Klement & Jungman, D.D.S., P.A. Prior to private practice, Dr. Klement was a commissioned officer and Dental Director of Manatee County Rural Health with the United States Public Health Service. He is an active Rotarian with over twenty years of service to the community. He has served as past president of the Manatee Dental Society and South Manatee Rotary Club and is involved with various charitable and community groups. He is a delegate to the Florida Dental Association and on the Health Advisory Board for Head Start. |

Stanley E. Meuser
Mr. Meuser began his career with the New York City Police Department in 1961 and his assignments included Homicide, Organized Crime and Arson Explosion. Detective Meuser retired in 1976. He then joined Medfurn Systems, a New York manufacturer of home care medical devices. After spending 10 years in the medical manufacturing industry, he purchased Pride Mobility Products, a small manufacturing company in Pennsylvania. In 1990, the company was listed by Inc. 500 Magazine as one of the fastest growing privately held companies in the United States. At present, the company is the largest manufacturer of power wheel chairs and scooters in the world with offices worldwide. Mr. Meuser still serves as Vice-Chairman and consultant with his two sons who are partners. Mr. Meuser also serves as a Major in the South Carolina Military Department Special Operations and Advisory Group. |

Gary A. Roberts
Mr. Roberts has been building luxury single-family homes on Florida's Gulf Coast for over 35 years. Among his prominent clients is the White House Chief of Staff Donald T. Regan, Arvida Corporation Presidents, CEO's of Corporations and numerous celebrities. Mr. Roberts has extensive Commercial Construction experience as well, his achievements include: Medical Buildings, Winn Dixie Warehouses, Bank buildings for Bank of America, super structures for National Urbanetics and development and installation of super structures for condominiums on the West Coast of Florida. Mr. Roberts serves on numerous Boards of Directors, The Glenridge, a $250 million dollar adult care facility, Gulf Coast Kiwanis, Contractors Association and the Sarasota Chamber of Commerce. He has received multiple awards in the community, such as: Kiwanian of the Year, Kiwanian Meritorious Service Award, Designated Master Builder and winner of a host of awards on Regional, National and International levels for Best Community, Best Design and Best Merchandising. |

Robert Clinton Smith
Mr. Smith is a native of Trenton, New Jersey. After serving in the Vietnam War in 1966-1967, Mr. Smith taught junior high school, in Torrence, California until 1970, when he relocated to the State of New Hampshire. After teaching high school and coaching football and baseball for three years, Mr. Smith owned and managed his own real estate firm. He was elected to the school board in 1978 and served for six years, 3 of those as chairman. In 1984, Robert C. Smith was elected to the U.S. House of Representatives as a republican where he served for six years (3 terms) representing the First Congressional District of New Hampshire. In 1990, Smith was elected to the U.S. Senate where he served for 2 consecutive terms (12 years) leaving office in January of 2003. He was a prominent member of the Senate Armed Services Committee, as well as Chairman of the Senate Ethics Committee and Environment and Public Works Committee. In June of 2003, he was appointed to the Board of Directors of the Everglades Coalition. Smith led the effort in the Senate to secure the passage of legislation to protect the Everglades. Mr. Smith is a member of the National, Florida and Sarasota Association of Realtors and is currently affiliated with Coldwell Banker Residential Real Estate in Longboat Key, Florida. He and his wife, Mary Jo, reside in Sarasota. |

Vincent G. Stenger, MD
Mr. Stenger has practiced obstetrics, gynecology and gynecologic oncology in Sarasota for the past 25 years. He is on staff at Sarasota Memorial and Doctors Hospital. He has published over 60 papers during his academic career. He became a Diplomat of the American Board of Obstetrics and Gynecology in 1966 and later spent a decade as an examiner on that Board. Dr. Stenger accepted the appointment as the First Chairman and professor of the then new medical school of Pennsylvania State University in Hershey, Pennsylvania. Since moving to Sarasota in 1978, he has served as the Chief of OB/Gyn Section at Sarasota Memorial Hospital and Chairman of the OB/Gyn Privileges Committee for a decade. He served several years as a member of the Board of Governors of the Sarasota County Medical Society and three years as a delegate to the Florida Medical Association. |

Edward Joseph Valek, II
Mr. Valek is currently the Vice President of Valek Insurance & Bonds, an independent insurance agency, in Sarasota since 1987 specializing in business insurance, life and employee benefits. Prior to that he graduated in 1982 from Louisiana State University with a BS degree in Finance and Insurance. He started his career with Worldwide Insurance Brokers in Baton Rouge, LA. After that he was vice-president of Valek Insurance in Moundsville, WV. He is past president and current board member of the Sarasota Association of Independent Insurance Agents. He was active in Jeb Bush's gubernatorial campaigns has coached numerous youth sports in Sarasota and is a 1998 graduate of Leadership Sarasota. He has earned and maintains the Certified Insurance Counselor designation and is a Life Underwriters Training Council graduate. He has been a Sarasota resident of the past 17 years and has a wife and three children. |
